Therapist Sidekick Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the Therapist Sidekick website, application, resources, content, features, and related services (collectively, the “Service”) provided by Therapist Sidekick LLC (“Therapist Sidekick,” “we,” “us,” or “our”).
By accessing or using the Service, creating an account, or purchasing a subscription, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
1. About Therapist Sidekick
Therapist Sidekick is a professional educational and clinical-support platform designed to help mental health professionals and related professionals locate, understand, personalize, and use clinical resources.
Therapist Sidekick is not a healthcare provider and does not provide therapy, medical care, diagnosis, treatment, clinical supervision, legal advice, or emergency services.
The Service is intended to support—not replace—the independent professional judgment of its users.
2. Eligibility and Professional Responsibility
You must be at least 18 years old to create an account or use subscriber features.
The Service is intended for mental health professionals and other professionals, trainees, or students using the Service for legitimate professional or educational purposes.
Therapist Sidekick does not verify or guarantee that every user holds a particular professional license, credential, certification, or scope of practice. You are solely responsible for:
- practicing within your applicable education, training, credentials, licensure, supervision requirements, and scope of practice;
- complying with applicable laws, regulations, ethical standards, professional requirements, and organizational policies;
- independently evaluating whether any resource, intervention, suggestion, or information is appropriate for a particular client or situation; and
- obtaining appropriate supervision, consultation, or other professional assistance when necessary.
3. Clinical Disclaimer
Therapist Sidekick provides educational information and professional clinical-support resources.
The Service is not a substitute for independent clinical judgment, comprehensive assessment, diagnosis, individualized treatment planning, professional supervision or consultation, emergency assessment or intervention, or compliance with applicable professional, ethical, and legal obligations.
Clinical information and resources may not be appropriate for every client, diagnosis, population, setting, or circumstance.
You remain solely responsible for determining whether, when, and how to use any information or resource obtained through the Service.
Therapist Sidekick does not guarantee any particular clinical result or outcome.
The Service is not intended to provide emergency or crisis services. Users are responsible for following appropriate emergency procedures and directing individuals to appropriate emergency or crisis resources when necessary.
4. Client Information and Protected Health Information
Do not submit protected health information (“PHI”) or information that identifies or could reasonably identify a client or patient to Therapist Sidekick.
When describing clinical situations, you must use generalized or appropriately de-identified information.
You should not enter information such as a client's name, date of birth, address, telephone number, email address, medical-record number, insurance identifier, or other information that could reasonably identify a particular client.
Therapist Sidekick is not intended to function as an electronic health record, clinical recordkeeping system, or repository for identifiable client information.
You are responsible for ensuring that information you submit complies with these Terms and your applicable privacy, confidentiality, professional, and legal obligations.
If you believe identifiable client information has been submitted accidentally, contact us promptly at hello@therapist-sidekick.com.
5. Accounts
You must provide accurate information when creating and maintaining an account.
Each individual subscription is licensed to one authorized user unless a subscription plan expressly provides otherwise.
You may not share login credentials or permit another clinician or individual to use your account.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You must promptly notify us at hello@therapist-sidekick.com if you believe your account has been accessed without authorization.
6. Subscriptions and Automatic Renewal
Paid subscriptions automatically renew on a recurring basis at the billing interval and price disclosed to you when you subscribe, unless canceled.
By purchasing a recurring subscription, you authorize the applicable payment processor to charge your selected payment method for recurring subscription fees and applicable taxes until the subscription is canceled.
You may cancel your subscription at any time. Unless otherwise stated or required by law, cancellation takes effect at the end of your then-current paid billing period, and you will retain paid access through that date.
Cancellation prevents future renewals but does not ordinarily result in a prorated refund for unused time remaining in an already-paid billing period.
Free Trials and Promotional Offers
Therapist Sidekick may offer eligible new subscribers an introductory free trial. Where a seven-day free trial is offered, no subscription fee is charged at the start of the trial, but a valid payment method is required.
Unless you cancel before the free trial ends, your paid subscription will begin automatically when the trial ends at the recurring monthly amount disclosed to you at checkout, including any eligible promotional discount applied there. The subscription will then renew automatically at the applicable recurring interval until canceled.
You may cancel during the free-trial period through the billing-management options provided by Therapist Sidekick. If cancellation is completed before the trial ends, you will not receive the first subscription charge and may retain trial access through the scheduled trial-end date unless otherwise stated.
Introductory trial eligibility is limited. Unless Therapist Sidekick expressly offers otherwise, an acquisition free trial is available only once to an eligible user and is not available to a user who has previously started a Therapist Sidekick subscription or acquisition trial. We may use account and billing history to determine eligibility. Canceling, abandoning, or later returning to the Service does not create a new trial entitlement unless we expressly offer one.
Promotional or student discounts, when offered and valid, are subject to the terms displayed at checkout. A discount applied to an eligible free-trial checkout affects the recurring subscription amount that begins after the trial as shown by the payment processor. Promotional offers have no cash value and may be limited, modified, or discontinued prospectively.
After a free trial converts to a paid subscription, the ordinary cancellation, renewal, refund, and applicable Founding Member provisions in these Terms apply.
7. Founding Member Pricing
Users who subscribe under an eligible Therapist Sidekick Founding Member offer may receive a special Founding Member subscription rate.
Unless otherwise expressly stated, a Founding Member may retain the applicable Founding Member rate while maintaining continuous qualifying subscription status.
If a Founding Member voluntarily cancels their subscription, Founding Member pricing ends when the paid-through subscription period ends. If that user later resubscribes, the then-current available subscription price will apply unless Therapist Sidekick expressly offers otherwise.
A failed renewal payment does not immediately eliminate Founding Member pricing. Therapist Sidekick currently provides a 30-calendar-day Founding Member payment-recovery period measured from the original failed renewal. If successful payment is restored during that period, the member may retain the applicable Founding Member rate.
Paid access may be paused after the applicable payment grace period while payment remains unresolved.
If payment is not successfully restored within the 30-calendar-day recovery period, eligibility for the Founding Member rate may end.
Therapist Sidekick may offer different subscription plans, features, or pricing in the future. Any specific Founding Member pricing commitment remains subject to the eligibility terms applicable to that offer.
8. Failed Payments
If a recurring payment fails, we or our payment processor may attempt to collect payment again and may notify you regarding the failed payment.
Therapist Sidekick currently provides a seven-calendar-day grace period following an unsuccessful renewal payment before paid access may be paused.
If payment remains unresolved, paid functionality may be suspended or restricted.
Nothing in this section requires Therapist Sidekick to provide access without payment beyond an applicable grace period.
9. Refunds
Except where required by applicable law, subscription fees that have already been paid are nonrefundable, and no prorated refund is provided for unused time following cancellation.
We may provide a refund or credit in our discretion, including to correct genuine billing errors such as duplicate charges. Providing a discretionary refund or credit in one circumstance does not obligate us to provide the same remedy in another circumstance.
10. Resource License
This Section 10 applies to resources provided by Therapist Sidekick, not to User-Uploaded Resources stored in My Resources.
Subject to these Terms and your applicable subscription, Therapist Sidekick grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use resources made available through the Service for your own lawful professional or educational use.
While authorized to access applicable resources, you may:
- view resources within the Service;
- download resources that Therapist Sidekick makes available for download;
- print those resources;
- customize resources using functionality Therapist Sidekick provides;
- use appropriate resources with clients within your own professional caseload; and
- provide copies of appropriate resources to your own clients for their personal therapeutic or educational use.
You may use an appropriate resource with multiple clients within your own caseload.
A client who legitimately receives a resource from you may retain that copy for their own personal, noncommercial therapeutic or educational use.
11. Restrictions on Resources
Unless Therapist Sidekick expressly authorizes otherwise in writing, you may not:
- distribute Therapist Sidekick resources to other clinicians as a substitute for their own authorized access;
- share resources through therapist groups, shared drives, resource repositories, listservs, social-media groups, or similar collections;
- sell, sublicense, rent, publish, commercially distribute, or otherwise commercially exploit Therapist Sidekick resources;
- incorporate Therapist Sidekick resources into a product, course, workbook, membership, training program, application, website, resource library, or competing service;
- systematically download, scrape, crawl, copy, extract, archive, or reproduce the Therapist Sidekick resource library;
- remove or obscure copyright, trademark, attribution, or proprietary notices where present;
- represent Therapist Sidekick resources as your own original work; or
- use Therapist Sidekick resources or content to create or materially assist in creating a competing clinical-resource library, database, platform, or service.
12. Resources After Subscription Ends
Ending a subscription terminates your right to access subscriber-only areas of the Service or obtain new subscriber-only resources.
You may retain copies of resources that you legitimately downloaded while your subscription was active, including materials maintained as part of legitimate clinical records.
Resources already provided to a client may remain with that client for their personal, noncommercial use.
However, termination of a subscription does not convert previously downloaded resources into an unrestricted resource library. Former subscribers may not use retained copies to engage in ongoing systematic distribution, resale, publication, sharing with other clinicians, or other activities prohibited by these Terms.
All intellectual-property and redistribution restrictions that by their nature should continue after termination remain in effect.
13. Therapist Sidekick Intellectual Property
The Service and its original content and materials—including, as applicable, original text, worksheets, exercises, resource content, graphics, illustrations, branding, logos, software, interface elements, selection, arrangement, and other protectable material—are owned by Therapist Sidekick LLC or its licensors and are protected by applicable intellectual-property laws.
Your subscription provides a license to use applicable Therapist Sidekick content as described in these Terms. It does not transfer ownership of Therapist Sidekick intellectual property to you.
Therapist Sidekick does not claim ownership of therapeutic theories, modalities, facts, ideas, procedures, methods, systems, or other material that is not legally subject to our ownership.
Nothing in these Terms grants you a right to use Therapist Sidekick names, logos, branding, or other brand identifiers except as necessary to identify the source of legitimately provided materials.
14. User Content
As between you and Therapist Sidekick, you retain any rights you hold in information or content you submit to the Service.
You grant Therapist Sidekick a limited right to process submitted content as reasonably necessary to provide, operate, maintain, secure, and support the Service, consistent with our Privacy Policy.
At launch, Therapist Sidekick does not use individual clinical inputs for secondary AI-model training or unrelated product-development purposes.
You represent that you have the legal right to submit content you provide and that your submission and our permitted processing of it will not violate applicable law, professional obligations, or another person's rights.
My Resources and User-Uploaded Resources
My Resources allows you to store certain reusable clinical materials that you upload to your private account workspace (“User-Uploaded Resources”). User-Uploaded Resources are User Content; they are not Therapist Sidekick resources and are not included in the Therapist Sidekick resource license described above.
As between you and Therapist Sidekick, you or the applicable rightsholder retain ownership of User-Uploaded Resources. Uploading a resource does not transfer ownership of that resource to Therapist Sidekick.
You grant Therapist Sidekick a limited, non-exclusive license to host, store, copy, process, retrieve, display, render, and transmit User-Uploaded Resources only as reasonably necessary to provide, secure, support, and administer My Resources, Client Packs, account functionality, and related Service features. This limited license does not authorize Therapist Sidekick to sell your uploaded resources or distribute them to other Therapist Sidekick users.
When you upload a resource, you must confirm that you have permission to upload and store it for your own professional use. If you separately indicate that a resource may be shared with clients, you represent that you have the rights or permission necessary to reproduce and provide that resource to your own clients for the intended lawful professional, therapeutic, or educational use. Selecting a permission control in the Service does not itself create, expand, or verify any copyright, license, or redistribution right.
You are responsible for determining whether your use, storage, reproduction, export, or sharing of a User-Uploaded Resource is permitted by the applicable copyright owner, license, purchase terms, employer policy, law, or other restriction. Therapist Sidekick does not independently verify your rights in every uploaded resource.
User-Uploaded Resources remain private to your account through the Service and are not made available to other Therapist Sidekick users through My Resources. Under our current implementation, uploaded PDFs are not evaluated or surfaced in Sidekick Search and are not sent to our AI provider for Sidekick Search, summarization, embedding, or secondary model training.
My Resources is intended for reusable clinical materials, not client records or client-specific documents. You must not upload PHI or information that identifies or could reasonably identify a client or patient, including in filenames, titles, tags, or the contents of an uploaded document.
Therapist Sidekick may restrict or remove User-Uploaded Resources where reasonably necessary to address suspected infringement, unlawful material, security concerns, abuse, technical integrity, or violations of these Terms.
Client Packs
The Current Client Pack is an account-synced working area that may contain Therapist Sidekick resources, eligible User-Uploaded Resources, and a de-identified introduction. You remain responsible for deciding whether each item is appropriate for the intended client and whether you have permission to share any User-Uploaded Resource included in the pack.
Exporting, printing, or combining materials into a Client Pack does not change the ownership, license, copyright, or redistribution restrictions that apply to any underlying resource. Therapist Sidekick branding applied to Therapist Sidekick resources does not extend to the pages of User-Uploaded Resources.
Do not include client names, PHI, or other client-identifying information in Client Pack introductions or other Client Pack fields.
15. Feedback
If you voluntarily provide suggestions, ideas, feature requests, or other feedback about Therapist Sidekick, you permit us to use that feedback without restriction or compensation to you.
This provision does not give Therapist Sidekick ownership of separately protected materials or confidential information merely because you communicate with us.
16. Acceptable Use
You may not use the Service to:
- violate applicable law or another person's rights;
- submit information prohibited by these Terms;
- upload, store, reproduce, or share content through My Resources when you do not have the rights or permission necessary for that use;
- use My Resources or Client Packs as a repository for PHI, client records, or client-identifying documents;
- distribute malware or malicious code;
- compromise, interfere with, disrupt, or circumvent the security or operation of the Service;
- attempt unauthorized access to accounts, systems, or data;
- share accounts or circumvent subscription or access restrictions;
- impersonate another person or misrepresent your identity or affiliation;
- use unauthorized automated systems to access or extract information from the Service;
- reverse engineer, decompile, or attempt to derive source code except to the extent such restriction is prohibited by applicable law;
- infringe or misappropriate intellectual-property or privacy rights; or
- use the Service or its resources in violation of the licenses and restrictions in these Terms.
We may investigate suspected violations and may restrict, suspend, or terminate access where reasonably necessary to protect Therapist Sidekick, our users, third parties, or the integrity and security of the Service.
17. Service Changes and Availability
Therapist Sidekick is an evolving service.
We may add, modify, replace, improve, suspend, or discontinue features, resources, functionality, or portions of the Service.
A subscription does not guarantee that every feature, resource, interface, modality, or functionality available at one point in time will remain available indefinitely.
We will not use this provision to eliminate nonwaivable rights or engage in conduct prohibited by applicable law.
18. Third-Party Services
The Service may depend on or integrate with third-party service providers, including providers of infrastructure, authentication, private file storage, payment processing, communications, and technology services.
Your use of third-party services may also be subject to those providers' applicable terms and privacy practices.
Therapist Sidekick is not responsible for third-party products or services outside our reasonable control.
19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
THERAPIST SIDEKICK DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY PROFESSIONAL, CLIENT, CLINICAL SITUATION, OR PURPOSE.
WE DO NOT WARRANT OR GUARANTEE PARTICULAR CLINICAL, PROFESSIONAL, FINANCIAL, OR OTHER OUTCOMES FROM USE OF THE SERVICE.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THERAPIST SIDEKICK LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THERAPIST SIDEKICK LLC AND THE OTHER PARTIES IDENTIFIED ABOVE FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO THERAPIST SIDEKICK DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) $100.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
21. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Therapist Sidekick LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from or relating to:
- your unlawful or unauthorized use of the Service;
- your material violation of these Terms;
- content you submit that infringes, misappropriates, or violates another person's rights;
- your prohibited redistribution or exploitation of Therapist Sidekick resources; or
- your professional use of the Service outside the permissions and limitations established by these Terms.
This provision does not require you to indemnify Therapist Sidekick for claims to the extent caused by Therapist Sidekick's own conduct where such indemnification would be prohibited by applicable law.
22. Suspension and Termination
You may stop using the Service at any time and may cancel a paid subscription as described above.
We may suspend or terminate access where reasonably necessary because of material or repeated violations of these Terms, nonpayment, fraud, unlawful conduct, security threats, misuse of the Service, infringement of rights, or conduct that materially threatens Therapist Sidekick, our users, or third parties.
Where reasonable under the circumstances, we may provide notice or an opportunity to cure before termination. Immediate action may be appropriate for serious security, fraud, legal, or abuse concerns.
Termination does not eliminate obligations or restrictions that by their nature should survive termination, including intellectual-property protections, resource-use restrictions, disclaimers, limitations of liability, indemnification obligations, and dispute provisions.
23. Account Deletion
Cancellation of a paid subscription and deletion of an account are separate actions. Canceling a subscription does not automatically delete your account, My Resources uploads, or Current Client Pack data.
Where available, you may use the in-product Account deletion feature after satisfying any applicable subscription-lifecycle requirements, or contact hello@therapist-sidekick.com for account-deletion support.
Under our current implementation, when account deletion completes, active My Resources PDF objects associated with the account are deleted as part of the deletion workflow, and account-linked My Resources metadata and Current Client Pack data are removed with the account. Limited information may still be retained where reasonably necessary to comply with legal, tax, accounting, security, fraud-prevention, dispute-resolution, backup, or other legitimate obligations, as further described in our Privacy Policy.
24. Price Changes
Therapist Sidekick may introduce new plans or change subscription pricing prospectively.
Where required, we will provide advance notice of applicable price changes.
A price change will not retroactively alter charges for a billing period that has already been paid.
Specific Founding Member pricing commitments remain subject to the Founding Member provisions applicable to those subscriptions.
25. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles, except to the extent another jurisdiction's law must apply and cannot lawfully be waived.
Subject to any nonwaivable rights or jurisdictional requirements, disputes arising from or relating to these Terms or the Service may be brought in an appropriate state or federal court located in Colorado, and the parties consent to the jurisdiction of those courts.
These Terms do not require mandatory arbitration and do not waive procedural rights that cannot lawfully be waived.
26. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, applicable law, or other legitimate business needs.
When we make material changes, we will provide notice as appropriate under the circumstances and applicable law.
The updated Terms will identify their effective date.
Where applicable law requires affirmative consent to a change, we will seek that consent.
27. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions will remain in effect.
28. No Waiver
Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
29. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly presented to you for a particular subscription, feature, or offer, constitute the agreement between you and Therapist Sidekick regarding the Service, except where another written agreement expressly applies.
